Advantage Medical Waste Solutions, LLC — Official Service Terms & Legal Framework.

1. Agreement & Scope

This Agreement is between the Customer and Advantage Medical Waste Solutions, LLC ("AMWS"). Customer appoints AMWS to provide the regulated biomedical waste services described. Biomedical waste will be handled in accordance with applicable Florida law, including Chapter 64E-16, Florida Administrative Code, as applicable.

2. Scheduling & Service

AMWS will provide service according to the agreed pickup frequency. Route dates may shift because of holidays, weather, emergencies, traffic, regulatory requirements or other operational conditions. Customer must provide safe and reasonable access.

3. Acceptable Waste; Customer Packaging Responsibility

Customer is responsible for properly segregating, packaging, closing and labeling biomedical waste in accordance with applicable requirements, including Chapter 64E-16, Florida Administrative Code. Unless specifically agreed in writing, Customer will not place hazardous chemicals, radioactive materials, bulk chemotherapy waste, controlled substances, mercury, compressed gas cylinders, batteries or other unauthorized materials into AMWS containers.

AMWS may inspect the exterior condition of containers to determine whether they appear fit for transportation; however, AMWS is not required to inspect container contents to determine Customer's compliance with law or this Agreement. Customer remains responsible for the contents and proper preparation of each container.

4. Containers & Equipment

Reusable containers and equipment supplied by AMWS remain the property of AMWS unless specifically sold to Customer. AMWS-owned containers and equipment remain in Customer's care, custody and control while located at Customer's facility, except while being physically handled by AMWS personnel. Customer is responsible for proper use, security and contents.

Container Replacement Charge: Upon termination or cancellation, all AMWS reusable containers must be returned or made available for pickup. Customer is responsible for $150.00 per unit for any AMWS reusable container lost, missing, damaged beyond normal wear, or unreturned.
5. Billing & Payment

Customer agrees to pay the rates shown and separately authorized charges for supplies, setup/delivery when applicable, additional service, return trips or other requested services. Payment is due upon receipt. A $20 late fee may be applied to each invoice more than 30 days past due. Accounts 60 days past due may be suspended until brought current.

6. Term, Renewal & Cancellation

This Agreement begins on the Service Start Date and continues for the Initial Term. It automatically renews for successive one-year terms unless either party gives written notice of non-renewal at least 60 days before the end of the then-current term.

Cancellation / Non-Renewal: Written notification by email at least 60 days before the end date.
Early Termination Fee: 50% of the remaining agreement value (remaining months multiplied by monthly service fee).
7. Written Notices & Account Changes

Operational changes and account updates must be submitted by email to david@advantagemws.com. Formal notices concerning non-renewal or legal claims should be sent in writing to AMWS.

8. Pricing Adjustments

AMWS strives to maintain consistent and competitive pricing. AMWS reserves the right to adjust service rates by up to 10% when necessary and will provide written notice before an adjusted rate takes effect.

9. Indemnification

Each party will be responsible for claims, losses, damages, liabilities and reasonable costs to the extent caused by its own negligence, willful misconduct or breach. Customer will be responsible for claims arising from prohibited or improperly packaged waste.

10. Governing Law; Venue

This Agreement is governed by Florida law. Venue for disputes will lie in Palm Beach County, Florida.

11. Attorneys' Fees & Costs

In any action to enforce or interpret this Agreement, the prevailing party may recover reasonable attorneys' fees and costs.

12. Severability; Waiver; Assignment

If any provision is held unenforceable, remaining provisions continue in effect. Neither party may assign without written consent, except AMWS in connection with business transfer.

13. Complete Agreement; Electronic Signatures

This Agreement contains the complete agreement. Electronic signatures, initials and copies have the same legal effect as originals under Federal ESIGN and Florida UETA.
